Two practices can own identical chairs and equipment yet be worth very different amounts. The difference is goodwill: the established patient flow, referral relationships, brand, trained team and proven profitability that make the practice a going concern. It's usually the largest single component of a practice's value.
Personal vs practice goodwill — the crucial distinction
Practice goodwill attaches to the business and transfers to a buyer. Personal goodwill is tied to the individual dentist — their personal patient loyalty and clinical reputation — and may leave when they do. The more a practice's success depends on the owner personally, the less of its goodwill is transferable, and the lower the price and multiple a buyer will pay. Reducing owner reliance converts personal goodwill into practice goodwill, and is one of the most effective ways to lift value before a sale.
How goodwill is calculated
Goodwill isn't derived by a standalone formula. A valuer establishes the whole practice's going-concern value — adjusted EBITDA capitalised at a multiple — then subtracts the fair value of tangible assets. What remains is goodwill.
Goodwill, tax and finance
Goodwill has tax consequences on a sale (it's typically a capital asset) and banks treat goodwill lending differently from equipment finance. The specifics depend on your structure and circumstances — questions for your accountant and lender.
